Agreement appointing agent for purchase of land

 DEED OF AGREEMENT
This ‘Deed of Agreement’ is made on the ………..day of August Month 20…. in Dhaka.
Between
(Person/Company/Organization Name), represented by its (Person/Agent Name)and (Assistant Person/Agent name, if applicable), of (Address), and having its registered offices at (if register address valid); hereinafter called the “PURCHASER” (which expression shall unless excluded by ‘or repugnant to the context be deemed to include, its successors, legal representatives, nominees and assigns) of the FIRST PARTY:

M/S. …………….., represented by its Proprietor, (Person/Agent Name) …………………., a Company duly obtained the Trade License from the (Full Address…………………………)., Dhaka, Bangladesh under the laws of Bangladesh and having its offices at …………………….Dhaka, Bangladesh, as the SECOND PARTY.
 
OTHER PART
WHEREAS the FIRST PARTY is a limited company incorporated under the companies Act engaged in the business with good countrywide reputation intends to purchase land at …….., Norsingdhi district to establish industrial projects and other business therein.
AND WHEREAS the SECOND PARTY expressed its desire to act as local agent of the FIRST PARTY to help in purchasing the land at the proposed project site at …………., Narshingdiin reviewing this purchase agreement. 
 
NOW THEREFORE, IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES AS
FOLLOWS:
 
With reference to the discussion by both the parties, FIRST PARTY AGREED to purchase ± 20 Acres of land at ……..project t site through the SECOND PARTY as per the rate and specifications stated below.
 
Quantity of Land to be purchased ± 20 Acres (± 60 Bighas) of Riverside land by the FIRST PARTY as per the approved site map enclosed herewith that has been confirmed by the SECOND PARTY. It is to be mentioned that 1 (one) Bigha equal to 30 (Thirty) decimal are calculated at that area.
 
Rate has been confirmed @ Taka ……. Lac (Taka Twenty-Two Lac only) for each bigha (30 decimal) of land where Taka .... Lac (Taka ….. Lac) for each bigha of purchased land would be kept as security deposit with First Party which will be returned to SECOND PARTY after Mutation and all other purchase procedures are being completed. The FIRST PARTY will provide all the expenses as per the government rules for the registration purpose only i.e. registration charges, tax etc. but SECOND PARTY will not be allowed to claim for any fees, charges or commissions other than the land price that has been agreed (@ Taka ….. Lac per bigha, where Taka …..Lac will be paid during registration of land and Taka …..Lac will be retained by First Party as security deposit till the total purchase of the land for the project is completed).
 
Land purchase and payment procedure will be step by step and will be started from the date of signing this DEED of Agreement and to be completed within next six months from the date of signing this agreement, and until any adverse situation arises and that has been agreed by the FIRST PARTY. The FIRST PARTY will make the payment of Taka …….. Lac (Taka …… Lac only) to the SECOND PARTY for each bigha of purchased land as soon as the registration of land is completed and the purchased land is being handed over (physical possession of the land) to FIRST PARTY by the SECOND PARTY in presence of land owner and as properly demarcated by the authorized surveyor. The remaining amount of Taka …… Lac (Taka ….. Lac only) for each bigha of purchased land will be retained by FIRST PARTY as security deposit till the total purchase of the land for the project is completed.  
 
In any case, if the mutation of a purchased land (with registered deed) could not be completed for any reason, the SECOND PARTY will be liable to return the purchased amount (Taka ……. Lac per bigha) to the FIRST PARTY immediately.
The SECOND PARTY will all the times cooperate with the FIRST PARTY in reviewing the land documents, parcha, khatians(with chronological records of CS/SA/RS/BS as applicable) also getting possession of the proposed/purchased land and will provide all original documents prior to the registration process.
 
The SECOND PARTY by their own initiative will check and confirm whether any litigation is pending regarding the land and if there is any litigation pending, the SECOND PARTY will solve the problem by amicable settlements between the parties involved in the litigation and handover the proof of such settlement to FIRST PARTY.
After completion of the registration and handover the possession, if subsequently any problem arises by the previous landowner regarding possession of the land, the SECOND PARTY should be responsible and will actively cooperate with the FIRST PARTY to solve the problem.
 
Land area to be demarcated before the registration process and right to be handed over immediately after the completion of the registration without any fail.
Payment will be made by Bank draft/Pay order in the name of company of the SECOND PARTY as per the quantity/area of land to be registered.
Any sort of local disturbances, obstructions, which appear to obtain the possession of the purchased land to be handled by the SECOND PARTY with their own effort and expenses without fail.
 
Any discrepancies that appear during the registration and possession process should be resolved amicably within 30 days otherwise the FIRST PARTY reserves the right to cancel this agreement without any notice or payment of any compensation or will not be responsible for any liabilities in any way.
 
This agreement does not restrict the FIRST PARTY to purchase any land at the project site at its own arrangement or through other agency/agencies with whom it has such valid agreement. The Second party will be in concern of the land that will be arranged /prepared by it with all the valid required documents for the First Party to be satisfied to purchase the land at the arrangement of the SECOND PARTY.
 
This DEED of Agreement will be effective after the signing by the authorized representatives of both the FIRST PARTY and SECOND PARTY in presence of the witness subject to the submission of the required papers and documents to FIRST PARTY by the SECOND PARTY.
